高晶萍指出，不開放委託書採電子簽章主要有三大理由，一、現階段尚有實務運作困難，現行的委託書都是由公司印好的徵求書，若採電子的話，難以確認是否為股東本人；二是若書面、電子同時開放，有可能有些人同時使用實體委託書、電子委託書，會有重複委託效力認定的疑義；三、金管會鼓勵股東行動主義，希望股東「直接」行使權利，且集保已提供電子投票機制，而委託書的行使是間接行使權利，與股東行動主義背道而馳。

高晶萍指出，證期局委外研究後，顯示現階段不建議以電子化方式徵集，且徵詢相關業者、股務代理、通路業者等利害關係人意見後，評估現階段電子化有滯礙難行之處。

高晶萍表示，金管會依電子簽章法第11條第1項及證券交易法第25條之1授權規定，研擬修正公發公司出席股東會使用委託書規則，修正重點有二大，一是明定出席股東會委託書的徵求及非屬徵求的相關書面文件須簽名或蓋章者，排除適用電子簽章法及有關電子簽章之規定。
